Directors
It is a legal requirement placed on all newly formed companies that they have at least one director (of at least 16 years of age) and that they keep an appropriate register of the directors. This requirement is put in place by Section 162 of the Companies Act 2006. A company is also required by this act to have the register available for inspection by shareholders, members of the public or an appropriate authority. Usually it will be required to keep the register at the company’s registered office.
Company Secretaries
It is no longer a legal requirement for limited companies to have a company secretary in place ( Section 270 of the Companies Act 2006) except in the case of Public Limited Companies. Section 275 of the Companies Act 2006 requires that if they have been appointed, the company keeps a register of its secretaries.
Other than it being a legal requirement, your bank may also wish to see confirmation of your company’s directorships before they open a bank account for your company.
