The Articles of Association is a document which must be submitted to Companies House upon incorporation. The Articles of Association give detailed instructions on how the company is to work and the internal management structure.
The Articles of Association will often provide the answer to whether the directors or members are permitted to carry out a proposed act. The content of the Articles of Association form a contract between the company and its members, and includes such entitlements as the right to vote and the right to dividend payments.
The Articles of Association can only be changed by a special resolution of members in a general meeting.
