How To Register a Company

How To Register a Limited Company

A limited company is deemed by law to be a separate legal entity, removing financial liability from the shareholders and directors, as such it is seen as more appealing than other forms of business structures. In order to register a limited company, the business must be formed in the correct way.

Details on how to register a company can be found in the Companies Act 2006, the terms of which, to the layman, are overly complicated and confusing. This page is intended to reduce that confusion in the same way as our services are intended to ease the process.

Any new company must register with the registrar of companies i.e. Companies House. In order to do so, a number of correctly and specifically drawn up documents must be filed. The Companies Act 2006, recently bought changes in how to register a company, more specifically, in October 2009, changes were made to the main documents used to create and register a company. However, these despite the changes, these documents are still required for registration. These include:

  • Memorandum of Association
    • A document showing the intention of members to form a new company.
      Including any information on the sale of shares and the details of the shareholders.
  • Articles of Association
    • A document which describes the management of the company, its objectives, details of its registered office and the names and addresses of directors. “Model” articles were created on by the act (you can read more about this on our memorandum and articles page) for use when a company has chosen not to draw up its own, but knowing what a company requires we can professionally draft the articles on behalf of your company and give you guidance on what should be included in your objects.
  • Companies House Form IN01
    • A necessary form for company registration.

Once registered a company must continue to submit information on a yearly basis to Companies House. Companies trading must also register for VAT in order to charge and reclaim VAT and submit the proper company accounts to HMRC on a yearly basis.
