Scottish Companies
Although there are slight differences between British and Scottish laws, there are no significant ones when it comes to the formation of Scottish Companies, bar the fact that the company's registered office is required to be located within the Scottish borders. This means that business people can take advantage of our low cost, company formation services and even use our FREE formation service to register a new Scottish company.
Scottish Company Names
It is important to be aware that Scottish Companies are subject to the same rules surrounding the use of sensitive words in their company name as any other company within the UK. This can have an effect on Scottish companies wishing to use the word “Scottish” or “Scotland” in their company name. According to Appendix B, a Scottish company wishing to use either word may need to prove certain facts or be able to demonstrate certain criteria to Companies House before will be permitted to use the name. Using a term which implies that the Scottish company has some sort of eminence or relation to the Scottish government is also prescribed. Guidance on us of such a name by a Scottish company is covered by Appendix A, which essentially says that the Scottish company must appeal to the relevant body or authority before it will be permitted to use the name. Please see our sensitive words page for further guidance on this matter.
Scottish Companies Formation
Scottish companies formation is carried out in much the same way as formation of any other limited company. The main difference being that the company will be registered with Companies House Scotland but due to the nature of electronic filing, the formation will still normally be complete within a few hours.
